This draft is prepared for internal legal review and is not a final, publishable agreement. Bracketed placeholders must be completed, and the Arbitration, Governing Law, Limitation of Liability, and Medical Outcome Disclaimer sections in particular should be confirmed against the laws of the states and countries in which Vitality Access and its Providers operate before publication.
These Terms & Conditions ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and Vitality Access LLC, a [State] limited liability company ("Vitality Access," "we," "our," or "us"), governing your access to and use of the Vitality Access website, mobile application, and related services (collectively, the "Platform").
1. Acceptance of Terms
By creating an account, browsing Provider listings, submitting a booking request, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Platform. We may require affirmative acceptance of these Terms (for example, by checkbox) at account creation or before certain transactions, and that acceptance will be treated as your electronic signature to this agreement.
2. Eligibility
The Platform is intended solely for individuals who are at least eighteen (18) years of age and capable of forming a binding contract under applicable law. By using the Platform, you represent and warrant that you meet these requirements. Vitality Access does not knowingly permit use of the Platform by anyone under 18, and any account found to belong to a minor will be terminated.
3. User Accounts
To access certain features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to notify us promptly at Racquel@vitalityaccess.com of any unauthorized use of your account. Vitality Access is not liable for any loss arising from your failure to safeguard your account credentials.
4. Identity Verification
To protect the integrity of the Platform, facilitate secure bookings, and comply with fraud-prevention and payment-network requirements, we may require you to verify your identity using a government-issued identification document, a selfie match, or a third-party verification service. We may suspend or decline to process a booking until verification is satisfactorily completed. Verification does not constitute a representation by Vitality Access regarding your medical eligibility for any procedure, which remains solely a matter between you and your chosen Provider.
5. Platform Description
Vitality Access operates a digital marketplace and booking-coordination platform that allows Users to browse independent healthcare providers located in multiple countries ("Providers"), compare procedures and published pricing, request appointments, and place booking deposits. Vitality Access is a technology and coordination service. Vitality Access is not a hospital, clinic, physician, healthcare provider, travel agency, or insurance company, and nothing on the Platform should be construed as making Vitality Access any of the foregoing.
6. Independent Provider Relationship
Providers listed on the Platform are independent, third-party businesses and licensed professionals who are not employees, agents, partners, or joint venturers of Vitality Access. Vitality Access does not control, supervise, direct, or employ any Provider, and does not participate in the clinical judgment, treatment planning, or care delivered by any Provider. Each Provider is solely and exclusively responsible for: (a) diagnosis, treatment recommendations, and the practice of medicine; (b) obtaining and maintaining all applicable licenses, certifications, and permits; (c) maintaining adequate professional liability (malpractice) insurance in accordance with the laws of the Provider's jurisdiction; (d) obtaining informed consent prior to any procedure; and (e) all aspects of patient care, follow-up, and clinical outcomes. You acknowledge and agree that Vitality Access is not a party to, and bears no responsibility for, the care relationship between you and any Provider.
7. No Medical Advice
Nothing on the Platform constitutes medical advice, and no content, provider profile, procedure description, or communication made available through the Platform should be relied upon as a substitute for consultation with a qualified healthcare professional. Vitality Access personnel are not licensed to practice medicine and will not provide diagnosis, treatment recommendations, or clinical guidance of any kind. You should independently verify all medical information with a licensed provider before making any healthcare decision.
8. No Doctor–Patient Relationship with Vitality Access
Your use of the Platform does not create a doctor–patient, hospital–patient, or any other clinical relationship between you and Vitality Access. Any doctor–patient relationship, to the extent one arises, exists exclusively between you and the Provider you select, and is governed by the terms, consent forms, and policies of that Provider.
9. Booking Requests
A submission through the Platform requesting an appointment, consultation, or procedure (a "Booking Request") is an offer by you to engage a Provider on the terms stated at the time of submission. A Booking Request does not guarantee an appointment, procedure date, price, or Provider availability until the Provider affirmatively confirms the booking in accordance with Section 10. Vitality Access may facilitate communication of your Booking Request to the relevant Provider but does not itself accept or reject Booking Requests on the Provider's behalf.
10. Provider Acceptance Process
Following submission of a Booking Request and any applicable deposit, the Provider will review and either confirm, decline, or propose modified terms (including a different date or price) for the Booking Request. A binding appointment is formed only upon the Provider's confirmation. Providers may decline a Booking Request for any lawful reason, including scheduling conflicts, clinical unsuitability, or incomplete information, and Vitality Access has no ability to compel a Provider to accept any Booking Request.
11. Deposits and Payment Terms
Certain Booking Requests require payment of a refundable or non-refundable deposit (a "Deposit") processed through the Platform at the time of submission. Upon Provider confirmation of a Booking Request, Vitality Access retains its platform fee, which is non-refundable except as expressly provided in the Cancellation Policy. The remaining portion of the Deposit is applied toward amounts owed to the Provider, disbursed to the Provider, or refunded to you, in each case in accordance with the Cancellation Policy referenced in Section 13 and any Provider-specific payment terms disclosed to you before booking. Additional amounts owed directly to a Provider for services rendered are the User's sole responsibility and may be payable directly to the Provider outside the Platform.
12. Refunds
Refund eligibility and timing depend on the circumstances of cancellation (including whether the User, the Provider, or a force majeure event caused the cancellation) and are governed by our published Cancellation Policy, available at [link to Cancellation Policy], which is incorporated into these Terms by reference. In the event of any conflict between this Section and the Cancellation Policy, the Cancellation Policy controls as to refund mechanics, and these Terms control as to all other matters.
13. Cancellation Rules
Users may cancel a Booking Request or confirmed appointment through the Platform. Cancellation deadlines, applicable fees, and refund percentages vary by Provider and procedure type and are set out in the Cancellation Policy. Cancellations made after the applicable deadline may result in forfeiture of all or part of the Deposit. Vitality Access reserves the right to update the Cancellation Policy from time to time, with material changes applied prospectively to new Booking Requests.
14. Provider Rescheduling
Providers may need to reschedule or modify a confirmed appointment due to clinical, operational, or personal circumstances. Where a Provider reschedules, Vitality Access will use reasonable efforts to notify you promptly and to facilitate rebooking; however, Vitality Access does not guarantee the availability of an alternative date, and any resulting travel or accommodation costs are your responsibility, subject to any travel insurance you have obtained as recommended in Section 18.
15. Customer Responsibilities
You are responsible for: providing accurate and complete personal, medical, and travel information; reviewing and understanding any Provider's consent forms, pre-procedure instructions, and post-procedure care requirements; arranging your own travel, accommodations, passports, visas, and travel insurance; complying with all instructions provided by the Provider; and independently assessing your own fitness to travel and undergo any procedure. Vitality Access is not responsible for consequences arising from your failure to fulfill these responsibilities.
16. Medical Records
You may be asked to upload or transmit medical records, images, or history through the Platform to facilitate a Provider's evaluation of your Booking Request. You represent that you have the right to share any such records and that the information provided is accurate and complete to the best of your knowledge. Medical records shared through the Platform are handled in accordance with our Privacy Policy; however, once records are transmitted directly to a Provider, that Provider's own record-keeping and privacy practices, not Vitality Access's, govern their subsequent use.
17. International Medical Travel Risks
You acknowledge that international medical travel carries inherent risks beyond those associated with receiving care in your home country, including without limitation: differences in medical standards, regulatory oversight, and quality-assurance practices between jurisdictions; airline cancellations, delays, or overbooking; adverse weather; political instability, civil unrest, or changes in government travel advisories; visa denials or delays; customs and import restrictions, including with respect to medications or medical devices; differences in local law, including consumer-protection and malpractice law, that may limit your legal remedies abroad; currency fluctuations affecting the cost of care or travel; medical complications, including those arising from anesthesia, infection, or post-procedure recovery; and recovery timelines that differ from initial expectations. You assume full responsibility for these risks, and Vitality Access disclaims all liability for losses arising from them to the fullest extent permitted by law.
18. Passport and Visa Responsibility
You are solely responsible for obtaining and maintaining a valid passport, any required visas or travel authorizations, and for complying with the entry, exit, and health requirements of any country you travel to or through in connection with a booking. Vitality Access does not provide immigration advice and is not responsible for any denial of entry, visa refusal, or travel disruption resulting from your failure to satisfy applicable travel or immigration requirements.
19. Travel Insurance Recommendation
Vitality Access strongly recommends that you obtain comprehensive travel insurance, including coverage for trip cancellation or interruption, medical evacuation, and complications arising from medical procedures performed abroad, before traveling for any booking made through the Platform. Vitality Access does not sell or underwrite insurance and makes no representation regarding the adequacy of any policy you obtain.
20. Currency Exchange Disclaimer
Prices displayed on the Platform may be shown in multiple currencies for convenience and are subject to exchange-rate fluctuations between the time of display, booking, and payment. Vitality Access does not guarantee any displayed exchange rate, and the actual amount charged to you may differ based on the rate applied by your payment provider or financial institution at the time of the transaction.
21. Independent Provider Pricing
Procedure and service pricing displayed on the Platform is set and may be changed by each Provider at its sole discretion and is subject to change prior to Provider confirmation of a Booking Request, including as a result of changes in your medical circumstances, procedure scope, or Provider policy. Vitality Access is not responsible for, and does not guarantee, the accuracy of any price displayed prior to confirmation, or for additional charges assessed directly by a Provider, hospital, or facility.
22. Provider Information Disclaimer
Vitality Access makes reasonable efforts to verify certain baseline information submitted by Providers, such as licensure status and business registration, before a Provider is listed on the Platform. However, Vitality Access does not independently verify, and does not guarantee, the accuracy or completeness of Provider-submitted credentials, success rates, patient outcomes, reviews, certifications, facility accreditations, or pricing. You remain solely responsible for conducting your own diligence and for making your own informed healthcare decisions, and Vitality Access does not guarantee any medical outcome, credential, price, success rate, or level of patient satisfaction.
23. Reviews and User Content
The Platform may allow Users to submit reviews, ratings, photographs, or other content ("User Content"). By submitting User Content, you grant Vitality Access a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, and distribute that content in connection with operating and promoting the Platform. You represent that your User Content is truthful, based on your own experience, and does not infringe any third party's rights or violate applicable law. Vitality Access reserves the right, but has no obligation, to remove or decline to publish User Content that violates these Terms.
24. Intellectual Property
The Platform, including its software, design, text, graphics, logos, and trademarks, is owned by Vitality Access or its licensors and is protected by U.S. and international intellectual property laws. Except for the limited license to access and use the Platform for its intended purpose, no rights are granted to you in the Platform's intellectual property, and you may not copy, modify, reverse-engineer, or create derivative works from the Platform without our prior written consent.
25. Acceptable Use
You agree not to: use the Platform for any unlawful purpose; impersonate any person or entity; submit false, misleading, or fraudulent information in a Booking Request or account profile; interfere with or disrupt the Platform's operation or security; attempt to scrape, harvest, or reverse-engineer Platform data or Provider information for a competing service; or circumvent the Platform to transact directly with a Provider introduced through the Platform in a manner intended to avoid Vitality Access's fees, within the period specified in your applicable Provider engagement notice.
26. Fraud Prevention
Vitality Access employs identity verification, transaction monitoring, and other fraud-prevention measures to protect Users, Providers, and the integrity of the Platform. We reserve the right to delay, decline, reverse, or investigate any transaction we reasonably believe may be fraudulent, and to report suspected fraud to payment networks, financial institutions, or law enforcement as required or permitted by law.
27. Suspension or Termination of Accounts
We may suspend or terminate your account or access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive conduct, posed a risk to the Platform or other Users, or as required by law. You may close your account at any time by contacting us at Racquel@vitalityaccess.com. Termination does not relieve you of payment obligations incurred prior to termination, and Sections concerning Limitation of Liability, Indemnification, Arbitration, and Governing Law survive termination.
28. Third-Party Services
The Platform may link to, integrate with, or rely upon third-party services, including mapping, translation, communications, and travel-related services. Vitality Access does not control and is not responsible for the content, accuracy, or availability of third-party services, and your use of them is governed by their own terms and privacy policies.
29. Payment Processor Disclaimer
Payments made through the Platform are processed by Stripe, Inc. and its affiliates ("Stripe") or another payment processor we may designate. Your use of payment processing services is subject to Stripe's own terms of service and privacy policy, which you should review before submitting payment information. Vitality Access does not store full payment card numbers and is not responsible for errors, delays, or failures caused by Stripe or your financial institution, including declined transactions, processing delays, or currency conversion charges.
30. Communications by Email and SMS
By creating an account or submitting a Booking Request, you consent to receive transactional and service-related communications from Vitality Access by email and, where you have provided a mobile number, by SMS text message, including booking confirmations, Provider responses, and account notices. Message and data rates may apply. These transactional communications are necessary to the Platform's operation and cannot be opted out of while you maintain an active account, other than by closing your account.
31. Marketing Communications Consent
Separately from transactional communications, we may send marketing communications by email or SMS only where you have provided consent in the manner required by applicable law (including the CAN-SPAM Act and the Telephone Consumer Protection Act, where applicable). You may opt out of marketing communications at any time by following the unsubscribe instructions included in each message or by contacting us at Racquel@vitalityaccess.com; opting out of marketing communications will not affect transactional communications necessary to service your account.
32. Privacy Policy Incorporation
Our Privacy Policy, available at [link to Privacy Policy], describes how we collect, use, share, and protect personal information, including health information, and is incorporated into these Terms by reference. By using the Platform, you acknowledge that you have reviewed the Privacy Policy.
33. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) THE PLATFORM AND ALL PROVIDER INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT; (B) VITALITY ACCESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR MEDICAL OUTCOME, ARISING FROM OR RELATING TO YOUR USE OF THE PLATFORM OR ANY SERVICES PROVIDED BY A PROVIDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (C) VITALITY ACCESS'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (I) THE PLATFORM FEES YOU PAID TO VITALITY ACCESS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
34. Medical Outcome Disclaimer
VITALITY ACCESS DOES NOT PERFORM, SUPERVISE, OR GUARANTEE ANY MEDICAL PROCEDURE, AND MAKES NO REPRESENTATION OR WARRANTY REGARDING THE SAFETY, EFFICACY, OR RESULT OF ANY TREATMENT OBTAINED THROUGH A PROVIDER INTRODUCED VIA THE PLATFORM. ALL MEDICAL OUTCOMES, INCLUDING COMPLICATIONS, DISSATISFACTION WITH RESULTS, OR THE NEED FOR ADDITIONAL OR CORRECTIVE TREATMENT, ARE THE SOLE RESPONSIBILITY OF THE PROVIDER WHO PERFORMED THE SERVICES, AND ANY CLAIM RELATING TO MEDICAL CARE MUST BE DIRECTED TO THAT PROVIDER AND ITS PROFESSIONAL LIABILITY INSURER, NOT TO VITALITY ACCESS.
35. Force Majeure
Vitality Access shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including natural disasters, pandemics or public health emergencies, acts of government, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, or the acts or omissions of third parties such as Providers, airlines, or payment processors.
36. Indemnification
You agree to indemnify, defend, and hold harmless Vitality Access, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your interactions or agreements with any Provider; (d) inaccurate information you submitted through the Platform; or (e) your violation of any applicable law or third-party right.
37. Arbitration and Dispute Resolution
Except for claims that qualify for small-claims court or claims for injunctive relief to protect intellectual property or confidential information, you and Vitality Access agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in [Arbitration Venue], on an individual basis. YOU AND VITALITY ACCESS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. You may opt out of this arbitration agreement by sending written notice to Racquel@vitalityaccess.com within thirty (30) days of first accepting these Terms.
38. Governing Law
These Terms and any dispute arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the State of [Governing State], without regard to its conflict-of-laws principles, except to the extent such laws are preempted by, or inconsistent with, federal law.
39. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions of these Terms shall continue in full force and effect.
40. Entire Agreement
These Terms, together with the Privacy Policy and any Cancellation Policy, Provider-specific terms, or other policies referenced herein, constitute the entire agreement between you and Vitality Access regarding the Platform and supersede all prior or contemporaneous understandings, whether written or oral, regarding the same subject matter.
41. Changes to Terms
Vitality Access may amend these Terms from time to time to reflect changes in our practices, business, or applicable law. We will post the updated Terms on the Platform with a revised "Last Updated" date and, for material changes, will provide additional notice such as an email or in-app notification. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.
